Director-Elect Carl Icahn Skips the Yahoo Annual Meeting

After a months-long and very public battle with CEO Jerry Yang, and despite his nomination as a director, Yahoo’s investor malcontent Carl Icahn announced last night that he will not be attending the company’s Annual Shareholders Meeting today.  Perhaps he has already moved on to greener pastures.  More


The SEC Discovers the Internet

On Wednesday the Security and Exchange Commission declared that website were a viable way for a public company to communicate with shareholders.   Two points of note:

  • a company web site is a recognized channel of distribution
  • posting of information on a company web site disseminates the information in a manner making it available to the securities marketplace in general
